By opting into our SMS program, you agree to receive recurring marketing text messages and/or transactional, operational, or informational text messages from or on behalf of TeleMed2U, at the phone number you provide us. Please read these SMS Terms & Conditions ("SMS Terms") carefully, as they govern your use of our SMS program. By enrolling or otherwise agreeing to receive text messages from TeleMed2U, you agree to these SMS Terms, as well as TeleMed2U's Terms of Use and Privacy Policy, which are incorporated herein by reference and can be viewed at the links provided here, or at telemed2u.com. For purposes of these SMS Terms,"TeleMed2U," "the Company," "we," or "us" shall mean TeleMed2U, Inc. and any of its subsidiaries, divisions, or affiliates.

Opting into Text Messages

By opting into TeleMed2U's SMS program, you expressly consent to receive recurring marketing text messages that may be sent using an automatic telephone dialing system, by or on behalf of TeleMed2U, at the cell phone number you provide us. By voluntarily providing your cell phone number to TeleMed2U, you consent to receive transactional, operational, or informational text messages at that phone number, including but not limited to appointment reminders, test results, and telemedicine instructions. Consent to receive texts is not a condition of purchasing any goods or services, and you understand and agree that all text messages may be sent using automated technology.

TeleMed2U'sSMS program is available on the following carriers: AT&T, Verizon Wireless, Sprint, T-Mobile, U.S. Cellular, Boost Mobile, MetroPCS, Virgin Mobile, Alaska Communications Systems (ACS), Appalachian Wireless (EKN), Bluegrass Cellular, Cellular One of East Central, IL (ECIT), Cellular One of Northeast Pennsylvania, Cricket, Coral Wireless (Mobi PCS), COX, Cross, Element Mobile(Flat Wireless), Epic Touch (Elkhart Telephone), GCI, Golden State, Hawkeye (Chat Mobility), Hawkeye (NW Missouri), Illinois Valley Cellular, Inland Cellular, I Wireless (Iowa Wireless), Keystone Wireless (Immix Wireless/PC Man), Mosaic(Consolidated or CTC Telecom), Nex-Tech Wireless, NTelos, Pan handle Communications, Pioneer, Plateau (Texas RSA 3 Ltd), Revol, RINA, Simmetry (TMP Corporation), Thumb Cellular, Union Wireless, United Wireless, Viaero Wireless, and West Central (WCC or 5 Star Wireless). How to OptOut and Get Help

To stop receiving text messages from TeleMed2U, you agree to reply STOP to the number sending the message. After replying STOP, you may receive additional communications confirming that your request has been received and processed, and you may continue to receive text messages for a short period while TeleMed2U processes your request(s). If you opt out of one TeleMed2U text messaging program, you will remain opted into other TeleMed2U text messaging programs (if applicable) unless you opt out of those programs separately. TeleMed2U offers a variety of text messaging programs to keep you informed and up to date on your health and wellness. By enrolling in our promotional text programs, you will receive recurring marketing and informational texts from or on behalf of TeleMed2U at the mobile number you provide when opting in. In addition to our promotional text programs, you may provide your cell phone number to opt in to receive text messages about your appointments, services, and/or reminders related to our healthcare services, including telemedicine consultations, medication management, and remote patient monitoring. To be removed from these lists, reply STOP to the number provided in the message.

After opting out of receiving text messages, you can re-enroll in any TeleMed2U text messaging program by following the instructions for that program. We would be happy to welcome you back.

Cost

Message and data rates may apply for any messages sent to you from or on behalf ofTeleMed2U, and messages you send to us. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Eligibility and Change in Phone Number

By opting into TeleMed2U's text messaging program(s) or by otherwise providing your cellphone number to TeleMed2U, you warrant that you are 18 years of age or older. You further warrant that you are the current subscriber or authorized user of the phone number you have provided. You agree that you will not initiate messages to the mobile phone of any other person or entity without authorization. If you change, forfeit, or deactivate the phone number you have provided to TeleMed2U, you agree to notify TeleMed2U immediately. Failure to do so constitutes a material breach of these SMS Terms and TeleMed2U's Terms of Use. Mobile carriers are not liable for delayed or undelivered messages.

Mandatory Dispute Resolution

PLEASE READTHIS SECTION CAREFULLY - IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS,INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOURCLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY PRE-DISPUTE RESOLUTION, BINDINGARBITRATION AND A CLASS ACTION WAIVER.

IRRESPECTIVEOF ANY LAW TO THE CONTRARY, YOU MUST PROVIDE NOTICE TO TELEMED2U, PURSUANT TOTHE PROCEDURES SET FORTH IN THIS SECTION, OF ANY CLAIM WITHIN ONE YEAR OF ITSACCRUAL OR YOUR CLAIM SHALL BE WAIVED AND TIME-BARRED.

Pre-Dispute Resolution Process: Should you and TeleMed2U have a Dispute (as defined below),TeleMed2U is committed to engaging with you to resolve it. Therefore, for any Dispute that arises between you and TeleMed2U, the parties agree that they will first make a good faith effort to resolve it informally. This informal dispute resolution process is a condition precedent to commencing any formal proceeding in arbitration or small claims court.

The parties agree that any relevant limitations period and filing fee or other deadlines will be tolled while the parties engage in this process.

For your Disputes with TeleMed2U, you must first send your name, address, telephone number, email address, and sufficient information forTeleMed2U to identify any transaction at issue; a detailed description of your Dispute; and the nature and basis of your claims and the relief sought, along with the calculation you used (the “Notice”) to the following emailaddress: info@telemed2u.com.You and TeleMed2U agree to negotiate in good faith about the Dispute, including through an informal and individualized telephone or video settlement conference if requested by TeleMed2U. If either party to the Dispute is represented by counsel, that party's counsel may participate, but the party also mustpersonally appear at and participate in the settlement conference. This processshould lead to resolution of the Dispute, but if the matter is not resolvedwithin sixty (60) days after TeleMed2U receipt of the complete writtendescription detailed above, you and TeleMed2U agree to the further disputeresolution provisions below. This period will start upon receipt of theinformation referenced above. If the sufficiency of the Notice or compliancewith this pre-dispute resolution process is at issue, either party may elect tohave this issue decided by a court, and any formal dispute resolutionproceeding shall be stayed pending resolution of the issue.

Binding Arbitration: Any Dispute not resolved by the informal dispute resolution process set forth above will be resolved through binding arbitration conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (collectively, “AAA Rules”) then in effect, except as modified by this arbitration agreement. The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879.

The arbitration will be conducted in the county where you reside or another mutually agreed-upon location. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. TeleMed2U will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. Likewise, TeleMed2U will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed-upon location.

Class Action Waiver: You and TeleMed2U agree that any proceedings to resolve any Dispute will be conducted solely on an individual basis and that neither you norTeleMed2U will seek to have any Dispute heard as a class action, are presentative action, a collective action, a private attorney-general action, or in any proceeding in which you or TeleMed2U act or propose to act in are presentative capacity. You and TeleMed2U further agree that no arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

Arbitration Procedure: The Federal Arbitration Act and federal arbitration law apply to this arbitration agreement. Any arbitration under this agreement will be governed by the AAA Rules. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided in this agreement, you and TeleMed2U may litigate in court only to compel arbitration under this agreement or to confirm, modify, vacate, or enter judgment on the award rendered by the arbitrator.

Time Limitation on Claims: You agree that any claim you may have arisen out of or related to your relationship with TeleMed2U must be filed within one year after such claim arose; otherwise, your claim is permanently barred.

Modification of Agreement: If TeleMed2U makes any future material changes to this arbitration provision, other than a change to TeleMed2U's address for Notice, you may reject the change by sending us written notice within 30 days of the change to TeleMed2U's address for Notice, in which case your account withTeleMed2U will be immediately terminated and this arbitration provision, as in effect immediately prior to the amendments you reject, will survive.

Entire Agreement: These SMS Terms are the entire agreement between you and TeleMed2Uregarding the subject matter herein and supersede any prior or contemporaneous agreements, understandings, or communications, whether written or oral, between you and TeleMed2U.
